Terms of Service
These Terms of Service ("Terms") govern your use of the website www.desishub.com, the software development services, the training programs, and the SaaS products offered by Desishub Technologies ("Desishub", "we", "our"). By using our website or engaging our services, you agree to these Terms.
1. About Desishub
Desishub Technologies is a software development and training company based in Kampala, Uganda. Our principal place of business is Kampala Road, Kampala, Uganda. Contact: sales@desishub.com · +256 756 384 580.
2. Use of the website
You may use the website for lawful purposes only. You agree not to:
- Use the site in any way that could damage, disable, or impair its operation.
- Attempt to gain unauthorized access to our systems, accounts, or networks.
- Scrape, copy, or republish the content without permission.
- Misrepresent your identity or use the site for fraudulent purposes.
3. Services and quotes
Pricing shown on the website is indicative. A binding quote is provided only after a discovery call and a written proposal signed by both parties. Final scope, deliverables, milestones, payment terms, and warranties are set out in that signed Statement of Work.
4. Payment
Unless otherwise agreed in a signed SoW, our standard payment terms are:
- Software projects: 50% deposit before kick-off, milestone payments, balance on delivery.
- Retainers: monthly in advance.
- Training programs: full tier payment upfront or monthly installments per the training agreement.
Invoices are payable within 14 days. Late payments may attract a surcharge and pause delivery.
5. Intellectual property
Our property: The website, our logo, brand, internal tooling, proprietary libraries (e.g. Grit Framework, GritCMS, DGateway), and SaaS products remain the intellectual property of Desishub Technologies and its licensors.
Your property: All bespoke code, designs, and deliverables produced specifically for a client under a signed SoW transfer to that client upon full payment, except for our pre-existing tools, libraries, and components which remain licensed to the client for use within the delivered solution.
6. Warranties and support
We warrant that delivered software will substantially conform to the agreed specification for a period set in the SoW (typically 3–12 months). Beyond that warranty period, ongoing support and maintenance are available under a separate maintenance plan.
7. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the services in any 12-month period is limited to the amounts paid by the client to Desishub during that period. We are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or business interruption.
8. Training programs
Specific terms for the Desishub Internship Program and other training programs (including the Code of Conduct, refund policy, and absence rules) are published on each program's page and form part of these Terms.
9. Acceptable use of SaaS products
When you use our SaaS products (DSchools, Lendbox, Inventory Pro, Project Pro, Kartify, and others), you agree not to use them to store or transmit unlawful, harmful, or infringing content, or to attempt to disrupt the service for other users.
10. Termination
Either party may terminate an engagement for material breach with 14 days' written notice if the breach is not cured. We may suspend access to SaaS products for non-payment or violations of these Terms.
11. Governing law
These Terms are governed by the laws of the Republic of Uganda. Disputes will be resolved first by good-faith negotiation, then by mediation in Kampala, and finally by the courts of Uganda.
12. Changes to these Terms
We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, notify active clients by email. Continued use of the site or services after changes means you accept the updated Terms.
